This End User License Agreement ("Agreement") is a legal agreement between you and Ohio Recovery Housing ("ORH") for the use of the RHOADS software ("Software").

By accessing or using the Software, you agree to be bound by the terms and conditions of this Agreement. If you do not agree to these terms, you may not access or use the Software.

1. License Grant

Subject to the terms and conditions of this Agreement, ORH grants you a limited, non-exclusive, non-transferable license to use the Software solely for your personal or internal business purposes.

2. User Obligations

You agree to:

Use the Software only in accordance with applicable laws and regulations.
Provide accurate and complete information when using the Software.
Maintain the security of your account login credentials and notify ORH immediately of any unauthorized use of your account.

3. Intellectual Property Rights

The Software and all intellectual property rights therein are owned by ORH and its licensors. You acknowledge that you have no ownership rights in the Software.

4. Disclaimers and Limitations of Liability

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, ORH DISCLAIMS ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

IN NO EVENT SHALL ORH BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, OR USE, INCURRED BY YOU OR ANY THIRD PARTY, WHETHER IN AN ACTION IN CONTRACT OR TORT, ARISING FROM YOUR ACCESS TO OR USE OF THE SOFTWARE, EVEN IF ORH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

5. Use of Templates and Tools

Any templates, tools or other materials and documents are provided for informational purposes only and is not a substitute for professional or legal advice. It is intended to be a general guide and may not cover all legal requirements or considerations relevant to your specific situation.

The use of such Documents and Tools are entirely at your own risk.

Before using or relying on any such document or tool, it is strongly recommended that you consult with a qualified attorney or legal expert to ensure that it is appropriate for your particular needs and complies with all applicable laws and regulations.

The creators and providers of the documents or tools make no representations or warranties, express or implied, about the accuracy, completeness, or adequacy of the information contained herein. In no event shall the creators and providers of such documents or tools be liable for any damages, including without limitation, direct, indirect, incidental, special, consequential, or punitive damages, arising out of the use or inability to use the documents or tools.

6. Termination

This Agreement shall remain in effect until terminated by you or ORH. You may terminate this Agreement by discontinuing your use of the Software. ORH may terminate this Agreement at any time without notice if you breach any provision of this Agreement.

7. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws Ohio. Any dispute arising out of or relating to this Agreement shall be resolved exclusively in the state or federal courts located in Ohio, and you hereby consent to the jurisdiction of such courts.

8. Updates and Modifications

ORH reserves the right to update or modify this Agreement at any time without prior notice. Any changes to this Agreement will be effective upon posting of the revised Agreement within the RHOADS software platform. Your continued use of the Software following the posting of any changes constitutes acceptance of those changes.

9. Miscellaneous

This Agreement constitutes the entire agreement between you and ORH regarding the subject matter hereof and supersedes all prior or contemporaneous agreements, representations, and understandings, whether oral or written.

If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect.
